Said agreement contemplated work by plaintiffs in the
Harrisburg and pittsburgh areas of Penn~ylvania with payment to
be made by Defendant to Plaintiffs at 47 West Main street,
Mechanicsburg, Cumberland county, pennsylvania.

Defendant did make payments in the total. amount of $7,351.66
on account of its obligations to plaintiffs under said Contract
for Show Management.
6.
Said contract for Show Management expressly contemplated
adjustments in the stated fees due to an increase or decrease in
services provided.

Pursuant to those I\djustment provisions, Defendant agreed,
subsequently to execution of said Contract for Show Management,
to pay plaintiffs eight percent (8t) of gross booth sales rather
than the seven and one-half percent ('7.5%) stated in said
Contract for show Management.

The gross booth sales under the said Contract for Show
Management were $293,864.
9.
Defendant also orally agreed to pay for $2,000 worth of art
work and production expenses in connection with the shows
referenced in said Contract for Show Management.

(e) Exhibitors seminar 735.00
TOTAL $2,000.00

Defendant has paid plaintiffs on account the sum of
$20,351.66 against the combined obligation for the agreed
management fee and art and production work of $25,509.12 leaving
a balance of $5,157,46.

In spite of Plaintiffs' repeated demands, Defendant has
failed and refused to pay said b~lance due.
WHEREFORE, Plaintiffs demand judgment against Defendant in
the amount of $5,157.46 plus costs and interest from August 10,
1995.

There are a half dozen outstanding Interrogatories which
Defendant served upon us on February 13, 1996.
By copy of this letter to counsel for Defendant, we are
providing them with our Answers to their Interrogatories. We are
in the process of obtaining the verification to our Answers from
Plaintiff. We will provide the verification to counsel as soon
as it is received.
The purpose of this letter is to attempt to allay any
concerns with prompt schedUling of the arbitration for reason of

We have conducted an audit of our show gross booth sales since January of 1993
when we firs! entered imo our Contract for Show Management Agreement. In comparing
gross booth sales. times the 7.5 % agreed upon rate, to the tOlal show management fees you
received, we find an outslandlng balance of $3.601.66 owed to you,
We had always tried to be pro.actlve in our fees to you in trying to keep them
monthly as close as we could to prior years and In view of your dedicated service. I had
always indicated to you that I would operate that way and some day we would have to draw
the line and see where we were. It was always hoped that future performance would balance
the equation and. in fact. exceed it to both the PRA's and your mutual satisfaction.
Your termination necessilllted !hat this audit be completed to Insure compliance with
the Agreement.
Enclosed please find a check In the amount of $3,601.66. It is with sincere
professional and personnel disappointment that this represents, at least for this particular
venture, an end to our partnership.
