AND NOW, comes the Plaintiffs, above named. by and through their allorneys, MARTSON.
DEARDORFF, WILLIAMS & OTTO. and hereby avers as follows:
I. Plaintiffs are Herbert J, and Thelma L, Moffill. who reside at 2121 Newville Road.
Carlisle, Cumberland County. Pennsylvania 17013,
2, Defendants are James C, and Twila L, Merriman. husband and wife. who reside at
13 Ian Drive, Mt. Holly Springs, Cumberland County. Pennsylvania 17065,
3, On or about October 4, 1995. Defendants agreed to sell real estate at 110 Dogwood
Drive. Mt, Holly Springs, Pennsylvania. to Plaintiffs, A copy of the Agreement for the Sale and
Purchase of Real Estate is allached as Exhibit "A",
4, On November IS. 1995. there was a settlement as which time the title passed for said
property from Defendants to Plaintiffs,
5, A few hours after the settlement, Plaintiffs went to the real property at 110 Dogwood
Drive. Mt. Holly Springs, Pennsylvania. and observed Defendants continuing to move their personal
property out of the house.
6. After Defendants had left the house. Plaintiff Herbert J, Moffill observed various
damage to the real property and various tlxtures that were removed from the real property,
7, Plaintiffs also learned that Defendants had not paid the water bill for the property in
the amount of$68,OO,
8, The tlxtures that were removed by Defendants were removed without the permission
or consent of Plaintiffs, The following rcmoved tlxtures had a fair market value as indicated: storm
door - $268,00; desktop kitchen cabinct - $189,00; sump pump - $259,00.
9, The damages to the real property caused by Defendants were as follows: damaged
brick at front door - $90,00; repair back porch post. $150,00; repair electrical box - $300,00; rt'place
bathtub drain - $47,00; repair siding. S40,OO,
10, Defendants also left an accumulation of trash in the basement which needed to be
removed by Plaintiffs at the estimated cost ofSIOO.OO,
II, Defendants also failed to clean the real property and Plaintiffs estimate a cost of
$200,00 to clean the property,
12. Defendants. either intentionally or negligently. damaged the real property as stated
above and removed the fixtures listed above,
13, Paragraph II oflhe Agreement fonhe Sale and Purchase of Real Estate provides that
all fixtures are to be included in the sale, Paragraph II of the Agreement of the Sale also provides
that the Seller (Defendants) warrant all plumbing. heating. air conditioning, mechanical and
electrical systems and equipment and appliances to be in proper working order at the time of
settlement.
14, In the event it is determined that Defendants acted intentionally in causing the above
damage and removing the above fixtures, Plaintiffs request punitive damages,
WHEREFORE. Plaintiffs demand judgment against Defendants for the amount ofSl.711.00
plus interest, costs. and punitive damages not to exceed the limits for the submission of this case to
arbitration,

AND NOW, comes the Defendants by and through their attorney
Richard p, Mislitsky, Esquire and responds to Plaintiffs'
Complaint and avers as follows:
(1) Admitted upon information and belief.
(2) Admitted.
(3) Denied as stated. It is admitted that the Defendants
transferred title to 110 Dogwood Drive, Mt. Holly Springs to the
Plaintiffs. It is denied that the Defendants agreed to sell said
real estate to the Plaintiffs. On the contrary, the Plaintiffs
agreed to buy back from the Defendants the aforesaid premises as
partial settlement of a Complaint filed in Equity by the
Defendants against the Plaintiffs. A copy of said Complaint in
Equity is attached hereto and marked as Exhibit "A".
(4) Admitted.
(5) Denied,
The Defendants were not upon the premises
after settlement or after the title to the premises pa~sed to the
Plaintiffs.
As such, Plaintiffs could not have seen the
Defendants on the premises.
Strict proof of Plaintiffs'
averment~ la demanded.
By way of further answer, Defendants

believe and therefore aver that the Plaintiffs' allegations are
intended to provide Plaintiffs with a cause of action that they
waived when they refused an inspection prior to taking title to
the premises in the condition as it was at the time of transfer.
(6) Denied. It is specifically denied that the Defendants
caused any damage to the aforesaid real property. It is further
specifically denied that the Defendants removed any fixtures from
the real property. Strict proof to the contrary is demanded at
the time of the trial. By way of further answer, Defendants
affirmatively aver that at the time of settlement on November 15,
1995, Plaintiffs were given the opportunity to conduct a pre-
settlement inspection of the premises prior to distribution of
funds. Plaintiffs and counsel refused to inspect the premises
and therefore waived objections and/or claims and are barred from
asserting claims against the Defendante.
(7) Denied as stated. It is denied that Defendants failed
to pay a water bill for the property. On the contrary, it is
believed and therefore averred that such amount was included in

the settlement wherein title to the property passed to the
Plaintiffs as referred to in paragraph 4 of Plaintiffs'
Complaint.
(8) Denied. It is denied that the Defendants removed any

affirmatively averred that when the Merrimans took ownership of
the premises at 110 Dogwood Drive on or about February 7, 1992,
there was no storm door affixed to the property. The storm door
apparently being referred to in paragraph 8 of Plaintiffs'
Complaint was a storm door purchased by the Merrimans.
Similarly, when the Merrimans took possession of the property
from the Moffitts, there was no sump pump in the basement affixed
to the real property.
As such, any sump pump used by the
Merrimans after they took possession of the property and before
transferring the property back to the Moffitts was purchased by
them and their personal property. Strict proof to the contrary
is demanded at time of trial.
By way of further answer,
Defendants affirmatively aver that at the time of settlement on
November IS, 1995, Plaintiffs were given the opportunity to
conduct a pre-settlement inspection of the premises prior to
distribution of funds. Plaintiffs and counsel refused to inspect
the premises and therefore waived objections and/or claims and
are barred from asserting claims against the Defendante.
(9) Denied. It is specifically denied that the Defendants
caused any damage to the property. To the contrary, the damages
referred to by the Plaintiffs in paragraph 9 of their Complaint
were items, among other things, that rendered the property
defective or were the result of damage to the property caused by,
or the result of things which necessitated the Merrimans'
Complaint in Equity against the MOffitts. Strict proof to the
contrary is demanded at the time of trial. By way of further
answer, Defendants affirmatively aver that at the time of

settlement on November 15, 1995, Plaintiffs were given the
opportunity to conduct a pre-settlement inspection of the
premises prior to distribution of funds. Plaintiffs and counsel
refused to inspect the premises and therefore waived objections
and/or claims and are barred from asserting claims against the
Defendants.
(10) Denied.
It is specifically denied that the Defendants
left an accumulation of trash in the basement which needed to be
removed by the Plaintiffs at the estimated cost of $100.00.
Strict proof to the contrary is demanded at the time of trial.
By way of further answer, Defendants affirmatively aver that at
the time of settlement on November 15, 1995, Plaintiffs were
given the opportunity to conduct a pre-settlement inspection of
the premises prior to distribution of funds.
Plaintiffs and
counsel refused to inspect the premises and therefore waived
objections and/or claims and are barred from asserting claims
against the Defendants.
(11) Denied,
It is specifically denied that it was the
Merrimans' obligation to clean the real property.
In the
alternative, the property was reasonably clean prior to
settlement. Strict proof of Plaintiffs' averments is demanded at
the time of trial.

(12) It is specifically denied that the Defendants either
intentionally or negligently damaged real property or removed
fixtures to ths real property.

Defendants affirmatively aver that at the time of settlement on
November 15, 1995, Plaintiffs were given the opportunity to

(13) Neither admitted or denied. The Defendants have been
advised and therefore aver that no responsive pleading is
required pursuant to the Pennsylvania Rules of Civil Procedure.

(16) Defendants purchased the subject premises at 110
Dogwood Drive from the Plaintiffs on or about February 7, 1992.
The premises was a new home without prior occupants.
(17) On or about November 3, 1992, the basement walls of the
subject premises collapsed causing damage to the real and
personal property of the Defendants herein.
(18) Defendants herein filed a Complaint in Equity against
the Plaintiffs herein seeking monetary damages and rescission of
the Agreement of Sale. A copy of the Complaint in Equity is
attached hereto and was previously marked Exhibit "A".
(19) As partial settlement of the aforementioned Complaint
in Equity, Plaintiffs herein agreed to buy back the home but
refused to pay the Defendants herein the price paid by the
Defendants.
(20) Plaintiffs and Defendants held settlement on November
15, 1995 as averred in paragraph 4 of Plaintiffs Complaint.
(21) Defendants affirmatively liver that they lire entitled to
set off any IImounts they are due under the Complaint in Equity
IIgllinst IIny amounts that mllY be due to the Plllintiffs herein.
(22) At the time of settlement on November 15, 1995 liS
referred to in pllragraph 4 of Plaintiffs Complllint, the
Plaintiffs were given the opportunity to conduct a pre-settlement
inspection of the premises prior to settlement and distribution
of funds.
(23) The Plaintiffs herein and counsel for the Plaintiffs
refused a pre-settlement inspection and took title to the
premises as it was at the time of settlement.

4, On November 15, 1995, there wu alettJement as which time the title passed for said
property from Defendants to Plaintiffs,
5. A few hours after the settlement, Plaintiffs went to the real property at 110 Dogwood
Drive, Mt, Holly Springs, Pennsylvania, and observed Defendants continuing to move their personal
property out of the house,
6, After Defendants had left the house, Plaintiff Herbert J, Moffitt observed various
damage to the real property and various fixtures that were removed from the real property,
7, Plaintiffs also learned that Defendants had not paid the water bill for the property in
the amount of$68.oo,
8, The flxtwoes that were removed by Defendants were removed without the pennllsion
or consent ofPlaintura. The following removed fixtures had a fair market value as indicated: stonn
door. S268,oo; desktop kitchen cabinet- S189,oo; sump pump _ S259,00,

$200.00 to clean the property,
12, Defendant.. either intentionally or negligently, damased the real property u stated
above and removed the lIxtures Ii..ed above.
13. Parqraph 11 of the Agreement for the Sale and Purchue of Real Estate provides that
aIIl1xtures are to be included in the lIIIe, Parqraph 11 of the Agreement of the Sale also provides
that the Seller (Defendants) warrant all plumbing, heating, air condidonin& mechanical and
electrical systems and equipment and appliances to be in proper working order at the time of
settlement.
14, In the event it is detennined that Defendants acted intentionally in causing the above
damase and removing the above lIxtures, Plaintiffs reque.. punitive damases,

above referenced matters and in support thereof avers as follows:
1. The moving parties are James C. and Twila L. Merriman,
husband and wife (hereinafter referred to as the "Merrimans").
2. The responding parties are Herbert J. and Thelma L.
Moffitt, husband and wife (hereinafter referred to as the
"Moffitts") .
3. The Merrimans are the Plaintiffs in Civil Action No. 35

5. Both the aforesaid actions are the result of the same
set of operative facts. The Merrimans affirmatively aver that
their defenses to civil Action No. 1996-276 cannot be fully heard
or adjudicated without reference to the facts and claims set
forth in Civil Action No. 35 Equity 1993.
6. On or about February 7, 1992, the Merrimans entered
into a settlement agreement with the Moffitts wherein title to
the premises situate at 110 Dogwood Drive, Mt. Holly Springs,
South Middleton Township, Cumberland County, Pennsylvania.
7. The aforesaid premises was a new home without prior
occupants or inhabitants.
8. On or about November 3, 1992, nine months after
aforesaid settlement, the basement walls of the aforesaid
residence collapsed, causing substantial damage to the personal
and real property of the Merrimans.
9. The aforesaid collapse of the basement walls also
rendered the premises dangerous and defective and uninhabitable
by the Merrimans without risk of personal injury and/or
additional damage to real and personal property of the Merrimans.
10. In or about August, 1993, the Merrimans filed the
aforementioned Complaint in Equity (Action No. 35 Equity 1993)

12. The Moffitts' agreement to purchase the property back
from the Merrimans was partial settlement of the Merrimans'
Complaint in Equity. The Merrimans demand for monetary damages
against the Moffitts remained.
13. In addition to the Merrimans remaining claims for
monetarl' damages, the Merrimans sustained additional monetary
damages in that the Moffitts would not buy back the aforesaid
premises at the price paid by the Merrimans in February of 1992.
As such, the Merrimans' monetary damages increased.
14. On or about November 15, 1995, the partial settlement
of the Merrimans' Complaint in Equity was effectuated when
settlement wae held and the title to the premises was transferred
from the Merrimans to the Moffitts.
15. After settlement and after waiving a pre-settlement
inspection, the Moffitts filed Civil Action No. 1996-276 naming
the Merrimans as Defendants.
16. The Moffitts' Complaint against the Herrimans alleges
that the Merrimans damaged the aforesaid premises, removed
fixtures (a storm door and a sump pump) and caused the Moffitts
to incur expenses for cleaning the premises.
17. The Merrimans filed an Answer in New Matter to the
Hoffitts' Complaint contemporaneous with the instant Motion to
Consolidate.
16. The Herrimans' Answer and New Matter contains defenses,
including but not limited to the following:
(a) The damage to the premises claimed by the Moffitts was
damage to the premises resulting from the collapse of the

baaement walla in November of 1992 which resulted in the
Merrimans' Complaint in Equity againat the Moffitts/
(b) The alleged fixtures removed by the Merrimans,
specifically a storm door and a aump pump, were not items
that were included with the premiBea when the Merrimana
purchased the property from the Moffitts in February 1992.
As auch, the atorm door and sump pump were the peraonal
property of the Merrimans purchaaed by them with the
intention of removing them when the property was transferred
back to the Moffitta.
19. In addition to the averment a Bet forth in the preceding
paragraph hereof, the Merrimans are entitled to a setoff of any
damagee that may be due to the Moffitts from damages that may be
due to the Merrimans from the Moffitts.
20. It iB affirmatively averred that the transactions
underlying both Complaints are part of one continuous contractual
relationship between the Merrimana and the Moffitts. The
tranafer of title to the Moffitta in November of 1995 was a
resciasion of the contract between the Moffitts and the Merrimans

executed in February of 1992, aa a reault of the Merrimans'
Complaint in Equity against the Moffitts.
21. Both of the Complaints herein at iasue stem from the
same set of operative facta which began in 1992 when the
Merrimana took title of the premisea from the Moffitts.
22. The Merrimans affirmatively aver that their defenaea to
the Moffitts' Complaint cannot be fully, adequately or properly
adjudicated without reference to their Complaint in Equity
-

against the Moffitts and the facts giving rise to said Complaint
in Equity. As such, failure to consolidate these actions will
result in prejudice to the Merrimans.
23. The Merrimans affirmatively aver that adjudication of
the Complaint in Equity separately from an adjudication of the
Moffitts' Complaint at law would be duplicative.
24. The duplication of effort in adjudicating both these
matters separately would amount to a waste of resources.
25. The Merrimans affirmatively aver that adjudication of
these matters separately could lead to inconsistent results.
26. The Merrimans affirmatively aver that consolidation of
these matters is in the best interest of judicial economy.
27. The Merrimans refer to their Complaint in Equity and
their Answer and New Matter to the Moffitts I Complaint and
incorporate each and every averment contained in those documents
as though same were fully set forth herein at length.
WHEREFORE, the Merrimans request that this Honorable Court
consolidate Civil Action No. 35 Equity 1993 with Civil Action No.
1996-276, Civil Term.

4. On or about April 18, 1995, James C. and Twila L.
Merriman filed an Answer and New Mater to Plaintiffs' Complaint
and contemporaneously filed a Motion to Consolidate the above
matter with Merriman v. Moffitt, et a1., Civil Action No. 35
Equity 1993.
5. The Motion to Consolidate has been listed for argument
during the May argument court.
6. Despite the pending Motion to Consolidate and without
waiting for judicial determination as to whether or not
consolidation is proper, Herbert J. and Thelma L. Moffitt filed
a Petition for Appointment of Arbitrators requesting that only
the matter of Moffitt v. Merriman, No. 1996-276 Civil Term be
listed for arbitration.
7. James C. and Twila L. Merriman affirmatively aver that
the Petition for Appointment of Arbitrators is premature and
cannot be granted until there is a judicial determination as to
whether or not the matters should be consolidated.
WHEREFORE, James C. and Twila L. Merriman move this
Honorable Court to strike the Petition for Appointment of
Arbitrators until such time as the Court has determined the issue
of whether consolidation is proper.

AND NOW, this 4th day of March, 1998, following a consolidated civil trial and
equity adjudication In the above-caplloned cases:
(1) At 96-0276 Civil Term, 1 find In favor of plaintiffs against defendants and
award damages In the amount of $68,00,
(2) At 35 Equity 1993, the following decree nisi Is entered:

(A) I find In favor of plaintiffs against defendants,' Damages totalling
$11,320 are awarded as follows:.
(I) Those settlement charges Incurred by the Merrlmans on the
February 7, 1992, transfer from the Moffiltl to the Merrlmans of
$2,032 consisting of their recording fee, transfer tax and attomey
fee,
(II) Those settlement charges of $1,345 Incurred by the
Merrlmans when the Moffiltl purchased the subject property on
November 15, 1995, consisting of their attomey fee and transfer
tax,
(III) Damage to kitchen fioor paid for by the Mofflltl of $2,293,
(Iv) Moving expenses of the Moffiltl after buy-back of $650,
(v) Payment toward counsel fees In this cue of $5,000,
(8) On the complaint of defendants against additional defendant, I find
In favor of the additional defendant.

1, We make a specific finding that defendants breached an Implied warranty of
habitability,
2, The sum of $30,337 In damages previously agreed to by defendants was
paid In 1993. Plaintiffs In their amended complaint sought rescission of their
purchase of the subject property from defendants which was accomplished when
defendants bought back the property on November 15, 1995,
