COMPLAINT
1. Plaintiff is Grafas Painting Contractors, Inc.,
("Grafas"), a New Jersey business corporation with a principal
place of business located at P.O. Bf)X 285, Summit, tj'ew Jersey,
07QO 1.
2. Defendant CCI Construction, Inc.. ("CCI") is a
pennsylvania Corporation with a principal place of business
located at 203 Lynndale Court, Mechanlcsburg, PA 17055-2893.
3. Defendant herein is the American Insurance Company,
(h"reinafter "American"), a corporation licensed to do business
in Pennsyivania. with a place of business located at The Curtis
C0nter, 601 Walnut Street, Suite 600, Philadelphia, PA 19160.
4. American conducL; hu:nness In Cumberland County,
Pennsylvania through the solicitation and/or sale of insurance
policies.
5. Jurisdiction over this dispute is vested in this court
pursuant to 42 Pa.C.S.A. ~9)1, and GraEas has satisfied all
conditions precedent to the filing of this action.
COUNT I - BREACH OF CONTRACT
6. Upon information and belief, CCl entered into a written
contract with the Cumberland Valley School District regarding an
the construction of the Cumberland Valley Middle School project
(the "Project"). i~,
7. On or about June 23, 1993, Grafas entered into a
contract with cel pursuanc to which Grafas was to perform work
related to the construction of the Project. Plaintiff is unable
to locate a copy of the contract, however, upon information and
belief, defendant is in possession of a copy thereof.
8. Pursuant to the contract, Grafas provided labor and
materials in association with, inter alia, the painting of the
Project.
9. The total value of the work to be performed was
$125,000. A copy of plaintiff's last payment application and
extra work orders, with the current prices which the contractor
was obligated to pay are attached hereto in Exhibit "A" and
incorporated herein by reference.
10. During the course of performing its obligations under
the contract, Grafas also either performed certain additional
w()ck or did not perform cert.din contract work at the direct
request of CCI for a total credit of $808.10.
11. Plaintiff completed $123,961.90 of work pursuant to the
contract.
12. Grafas completed the work required of it in a good and
workmanlike manner.
13. After due credit being given for all payment made by
eCL to Grafas, there remains a balance due to Grafas in the
amount of $13,711.90.
14. Despite repeated requests, defendants have failed
and/or refused to pay Grafas the remaining amo~nt due.
WHEREFORE, plaintiff, Grafas Painting Contractors, Inc.
demands that this Honorable Court enter judgment in its favor and
against defendants, CCI Construction, Inc., and American
Insurance Company, in the amount of $13,711.90, with interest,
costs of suit, attorney's fees and such other relief as this
Court deems just.
COUNT II UNJUST ENRICHMENT
15. Plaintiff incorporates the allegations of paragraphs 1
through 14 hereof as fully as if set forth at length herein.
16. Plaintiff is in the business of providing construction
labor and materials as set forth herein above and as set forth in
Exhibit "A".
17. Defendant knew that plaintiff was in the business of
supplying such labor and materials for compensation and knew that
plaintiff was not acting as a volunteer but was furnishing said

therefore.
18. Defendant used and utilized the labor and materials in
the course of its business and has received the benefit of that
labor ("ld materials.
19. The fair, reasondble and market value of the labor and
materials supplied, after the deduction of payments made, is
$13,711.90.
20. Defendants would be unjustly enriched if they were not
required to pay in full for the labor and materials supplied by
Plaintiff.
21. Despite demand, defendants have failed, refused and
continue to fail and refuse to pay the sum of or any part
thereof, and there is justly due and owing to plaintiff the sum
of $13,711.90.
WHEREFORE, plaintiff, Grafas Painting Contractors, Inc.,
demands judgment in its favor and against Defendants, CCl
Construction, Inc., and American Insurance Company, in the amount
of $13,711.90, with interest, costs of suit, attorney's fees and
such other relief as the Court deems appropriate.
COUNT III OUASI CONTRACT
22. Plaintiff incorporates the allegations of paragraphs 1
through 21 hereof as fully as if set forth at length herein.
23. Alternatively, defendants are liable to plaintiff in
quantum meruit and/or quasi contract for the amounts unpaid to
plaintiff for labor and materials furnished in the sum of

such other relief as the Court deems appropriate.
COlTNT IV - CONTRACTOR AND SUBCONTRACTOR PAYMENT ACT
24. Plaintiff incorporates by reference the allegations of
paragraphs 1 through 23 as though fulLy set forth herein.
25. Because Defendants have faLled to pay the plaintiff the
sums due it under tne Contract between the parties, they are
liable to pay the plaintiff d penalty of 1 % per month of the
amount wrongfully withheld, interest at the rate of 1% per month,
as well as reasonable attorney's fees, as set forth in 73 P.S.
~512, et seq.
WHEREFORE, Plaintiff, Grafas Painting Contractors, Inc.,
demands judgment in Its favor and against Defendants, CCI
Construction, Inc., and American Insurance Compar.y, in the amount
of $13,711.90, with interest, ccsts of suit, attorney's f~es and

the Public Works Contractors Bond Law of 1967. A true and
correct copy of the Bond is attached hereto as Exhlbit "a".
23. The last date on whlch GraEas last provided labor and
material to CCl was on or about July 20, 1995. More than ninety
(90) days have elapsed since the last date on which Grafas
supplied labor and materials to CCI and GraEas has not been paid
in full for same.
WHEREFORE, Plaintiff, GraEas painting Contractors, Inc.,
demands judgment i~ its favor and against Defendants, CCI
Construction, Inc., and American Insurance Company, in the amount

4. The Agreement between the parties includes, at Article 14, an explicit
Agreement to Arbitrate, which states as follows;
'14.1 Aireementto Arbitrate
All claims, disputes and matters in question arising out of, or relatin~
lll, this Agreement or the breach thereof, except for claims which have been
waived by the making or acceptance of final payment, and the claims
described in Paragraph 14.2, shall be decided by arbitration in accordance with
the Construction Industry Arbitration Rules of the American Arbitration
Association then in effect unless the parties mutually agree otherwise.
Notwithstanding other provisions in the Agreement, this Agreement to
Arbitrate shall be governed by the Federal Arbitration Act.
(Emphasis added). A true and correct copy of this provision of the Agreement is attached
hereto and made a part hereof as Exhibit" A".
5. Paragraph 14.1 of the parties' Agreement constitutes a valid Agreement
for Alternative Dispute Resolution pursuant to Pa.R.Civ.P. 1028(a)(6).
6. Pursuant to '14.1 of the parties' Agreement, Defendants demand that
the instant dispute be submitted to arbitration before the American Arbitration Association, in
accordance with the provisions of '14.1.
7. Given the existence of a valid Agreement for Alternative Dispute
Resolution, and Defendants' refusal to waive the same, Plaintiffs Complaint must be
dismissed pursuant to the provisions of Pa.R.Civ.P. 1028(a)(6).
8. Alternatively, Plaintiffs Complaint and all proceedings before this
Court must be stayed pending a final decision by the American Arbitration Association.
WHEREFORE, Defendants, CCI Construction Co., Inc. and American
Insurance Company, respectfully requests that Plaintiffs Complaint be dismissed, or, in the
alternative, request that the parties be directed to submit this dispute to arbitration in strict

accordance with 114.1 of the parties' Agreement, and that all proceedings between the
