The Arbitration originally scheduled for March 13, 1997 at 1 :30 p,m., has been
rescheduled for Thursdey, March 20, 1997 et 1 :30 p,m., to be held in the 2nd floor
hearing room of the old courthouse, as set forth on the attached Amended Notice.
Since almost everyone involved in the case has a distance to travel to the
hearing, in the event of a snow emergency, a timely decision will be made as to whether
to hold the hearing or postpone it. In such a situation, please be sure that you check
with my office on the morning of the hearing. in case we have not been able to reach

COMPLAINT
AND NOW, comes
their Attorney, Shawn A. Bozarth, Esquire, and
follows the following:
I. The Plaintiff is a sole proproprietorship with a principal
place of business at the address above, engaged in providing
janitorial services.
2. Mi ller Oral Surgery Inc. is a Pennsylvania Corporation
with principal places of business at the address of each defendant.
3. At all times relevant hereto, ~efendant Robert Boudrey was
an agent, servant, or employee of Miller Or.al Surgery Inc. with
actual or apparent authority to enter into contracts to bind his
principal, Miller Oral Surgery Inc.
4. In such a capacity, Boudrey entered into a contract dated
Daniels Janitorial Service
by and through
represents the
July 13, 1992 with the Plaintiff for the cleaning of 3600 Old
Gettysburg Road Office. See Exhibit A.
5. The Plaintiff thereafter and continuing to the present
date, performed janitorial services as called for by the contract
and was paid by Miller Oral Surgery Inc.
6. Beginning in January 1995, Defendant Miller Oral Surgery
Inc. refused to pay for the services performed by the Plaintiff.

Defendant Miller Oral Surgery, Inc" ("MOS"), by its
undersigned counsel, hereby offers its answer with new matter and
counterclaim,
1. Denied. MOS is without sufficient knowledge to
either admit or deny the averments of Paragraph 1 and those
averments are therefore denied.
2. Admitted in part and denied in part. It is
admitted that MOS is a Pennsylvania corporation with its
principal place of business at 400 Nationwide Drive, Harrisburg,
Pennsylvania, 17110. It is denied that MOS currently has a
principal place of business at 3600 Gettysburg Road, Camp Hill,
Pennsylvania, 17011-6897.
3. Admitted in part and denied in part. It is
admitted that Defendant Robert Beaudry was an employee of MOS
until March 1, 1996. It is denied that Defendant Robert Beaudry
was an agent, servant, or employee of MOS after that date. The
remaining averments of Paragraph 3 constitute legal conclusions
to which no response is required. To the extent that those
averments are deemed to be averments of fact, they are denied,
4. The averments of Paragraph 4 constitute a legal
conclusion to whi~h no response is required. To the extent that
those averments may be deemed to be factual averments, MOS is
without sufficient knowledge to either admit or deny and,
therefore, those averments are denied.
5. Admitted in part and denied in part. It is
admitted that MOS made certain payments to Plaintiff pursuant to
a contract that was terminated in March, 1995. After that time,
there was no contract between the parties and MOS was not
responsible to make any payments to Plaintiff.

NEW MATTER
1. At all relevant times, Defendant Robert Beaudry
was without authority to bind Miller Oral Surgery by contract or
otherwise.
2, Plaintiff was notified on several occasions that
Dr. Beaudry was without authority to bind MOS by contract or
otherwise.
3. To the extent that Plaintiff is due any recovery,
that recovery should be from Dr. Beaudry personally because any
contract he entered into or pz'omise he made could not have been
on behalf of MOS.
4. By letter of March 22, 1995, the business manager
of MOS terminated any contractual arrangement between MOS and
Plaintiff,

Nealiaence
1. On at least two occasions. Plaintiff's employees
caused damage to carpet at the MOS facility at 3600 Gettysburg
Road. Camp Hill. Pennsylvania. 17011-6897,
2. Specifically. in early 1995, Plaintiff's employees
spilled bleach on carpet at the MOS facility at 3600 Gettysburg
Road, Camp Hill. Pennsylvania, 17011-6897, and caused signifir.ant
and irreparable damage to the carpet.
3. Specifically, in April. 1995. Plaintiff's
employees spilled oil on carpet at the MOS facility at 3600
Gettysburg Road. Camp Hill, Pennsylvania, 17011-6897, and caused
significant and irreparable damage to the carpet,
4. Plaintiff's employees were under a duty to
exercise care in their work.
5. In damaging the carpet. Plaintiff's employees
breached their duty to exercise care in their work.
6. The a~tions of Plaintiff's employees were the
proximate cause of certain damage to carpeting at the MOS
facility at 3600 Gettysburg Road, Camp Hill. pennsylvania, 17011-
6897.

4, On March /2, 1996, Daniels Janitorial tiled a complaint before this Court.
5. On September 30,1996, MaS tiled its answer with new matter and counterclaim,
The answer with new matter and counterclaim was endorsed with a notice to plead,
6. On October 2, 1996, Daniels Janitorial tiled .t praecipe for a rule of reference to
arbitrators and on October 17, 1996, tiled a petition for appointment of arbitrators,
7, On January 21. 1997. this Court issued a notice of hearing of board of arbitrators
setting the arbitration hearing for March 13, 1997, On January 29.1997, the hearing was
rescheduled for March 20, 1997,
8, On March 20, 1997 an arbitration panel awarded Daniels Janitorial $3789,10 and
found for Daniels Janitorial on MaS's counterclaim,
9, [n its new matter, MOS made the following averments:

THE PLEADINGS AND M9TION TO STRIKE
1. Defendant Miller Oral Surgery has filed a Motion for Judgment on the Pleadings
concerning alleged admissions made by failure to respond to a New Matter filed with
the Answer
2. The instant Motion for Judgment on the Pleadings was filed after an arbitration trial
on March 20, 1997, which found in favor of the Plaintiff
3. The essence of this dispute is the two principals of Miller Oral Surgery Inc., Dn.
Boudrey and Reedy could not practice together; and now, after lengthy litigation,
they have split up, and refuse to pay for the services which each engaged separately
4. The Plaintiff is one of those providers of cleaning services, whom Reedy refuses to
pay.
5. As the documents attached to the Complaint indicate, there was no is&ue concerning
the qualit} of cleaning services until Reedy's dispute with Boudrey, and Boudrey
renewed the Plaintiffs contract.
6. The Motion should be stricken for the lollowing reasons:
a. It is untimely and improper under Rule 1034 in that a trial has occurred: "(a)
